Summary:Negotiation conversations are used much in human daily communicative process and widely applied for many speech acts. In this context, this analysis is made to discover syntactic features and pragmatic functions in English and Vietnamese negotiation conversations. Within this analysis, comparison and contrast have been excuted to find out similarities and differences of both languages. In order to obtain these aims, a quantitative method, a qualitative method and a descriptive method are taken into account. The study is based on data collected from English and Vietnamese short stories and novels including 180 English NCs and 172 Vitnamese NCs we can find out a lot of structures and pragmatic features. Based on the result of analysis the study suggests some implications of finding for the teaching and learning English as a foreign language in Vietnam. The thesis also suggests some guidelines and further researches on different fields of negotiation correspondence so that teachers of English and learners of English can, to some extent, study deeper the interesting areas negotiation correspondence.
